We are seeking a highly skilled and experienced Senior Legal Counsel specialized in Capital Markets law to join our client's legal team. As a Senior Legal Counsel, you will play a pivotal role in providing expert legal advice and guidance on a wide range of capital markets transactions and regulatory matters.

Your tasks

  1. Provide comprehensive legal support and counsel on capital markets transactions, including securities offerings, debt issuances, derivatives, structured finance, and other related matters.
  2. Conduct thorough legal research and analysis to ensure compliance with relevant laws, regulations, and industry standards pertaining to capital markets activities.
  3. Draft, review, and negotiate complex legal documents, contracts, and agreements related to capital markets transactions, ensuring accuracy, completeness, and adherence to legal requirements.
  4. Collaborate closely with internal stakeholders, including investment bankers, traders, risk management, and compliance teams, to assess legal risks, structure transactions, and facilitate successful deal execution.
  5. Stay abreast of legislative and regulatory developments affecting capital markets and advise management on potential implications and strategies to mitigate risks.
  6. Provide training and guidance to junior legal staff and other relevant departments on capital markets legal issues and best practices

Your profile

  1. Law degree (Volljurist) from a reputable institution, with both Staatsexamen/grade satisfactory ; or UK/US equivalent law degree
  2. Admission to the bar and in good standing with relevant regulatory authorities.
  3. Several years of experience practicing law, with a focus on capital markets transactions and regulatory matters within a reputable law firm or financial institution.
  4. In-depth knowledge of capital markets laws, regulations, and industry practices, including but not limited to securities regulations, derivatives, MiFID II, EMIR, and MAR.
  5. Proven track record of independently handling complex capital markets transactions and providing strategic legal advice to senior management.
  6. Excellent analytical, communication, and negotiation skills, with the ability to effectively interact with internal and external stakeholders at all levels.
  7. Strong attention to detail, organizational skills, and ability to prioritize and manage multiple tasks in a fast-paced environment.
  8. Proficiency in both written and spoken English and German.
  9. perience working in-house at a financial institution or multinational corporation.
  10. Familiarity with capital markets practices and regulations.
